1. Introduction

These Terms of Service (“Terms”) govern your use of the Naridon Shopify Application (“Service”) provided by Thom & Co GmbH, a company registered in Switzerland (“Naridon”, “we”, “us”). By installing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity.

2. Service Description

Naridon provides AI-powered search optimization and analytics tools for Shopify merchants. The Service includes:
  • Data indexing and optimization.
  • AI content generation (suggestions for products).
  • Analytics dashboards.

3. Account & Eligibility

  • B2B Service: The Service is intended for use by businesses (merchants) only, not consumers.
  • Shopify Account: You must have an active Shopify store to use Naridon.
  • Security: You are responsible for maintaining the security of your login credentials.

4. Subscription & Billing

  • Shopify Billing: All fees are billed through the Shopify Billing API. You agree to pay the fees applicable to your selected plan.
  • Changes: We reserve the right to change pricing with 30 days’ notice.
  • Refunds: As a general policy, we do not offer refunds for partial months. Exceptions may be made at our sole discretion or as required by Shopify’s partner terms.

5. Intellectual Property

  • Your Data: You retain all rights to your store data (products, images, content). You grant us a worldwide, royalty-free license to access, store, and process this data solely to provide the Service.
  • Naridon IP: We retain all rights to the Service, including code, algorithms, and designs. You may not reverse engineer or copy the Service.
  • AI Output: You own the specific output generated for your store (e.g., optimized descriptions), subject to the terms of our underlying AI providers.

6. Data Protection

Our use of your personal data is governed by our Privacy Policy and GDPR Statement. By using the Service, you agree to the terms of our Data Processing Agreement (DPA), which is incorporated by reference for all merchants subject to GDPR.

7. Warranties & Disclaimers

“As Is”: The Service is provided “as is” without warranties of any kind, whether express or implied. AI Disclaimer: The Service uses Artificial Intelligence, which may occasionally produce incorrect or “hallucinated” results. You are responsible for reviewing all AI-generated content before publishing it to your store. We do not guarantee specific SEO rankings or sales results.

8. Limitation of Liability

To the fullest extent permitted by applicable law (Switzerland):
  • Indirect Damages: We shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits or data).
  • Cap: Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
  • Exclusions: Nothing in these Terms limits liability for intent, gross negligence, or death/personal injury caused by negligence.

9. Governing Law & Jurisdiction

  • Governing Law: These Terms are governed by the substantive laws of Switzerland, excluding its conflict of laws principles.
  • Jurisdiction: The exclusive place of jurisdiction for all disputes is Bottighofen, Switzerland, unless mandatory law provides otherwise.

10. Modifications

We may modify these Terms at any time. We will notify you of material changes via email or within the App. Continued use of the Service constitutes acceptance of the new Terms.
